# Agentic Workspace — Contrato de licencia de usuario final

Este contrato de licencia de usuario final (el «Contrato») es un acuerdo entre usted, sea persona física o moral, y AgenticWorkspace (el «Titular») sobre el programa de cómputo Agentic Workspace, que comprende sus archivos ejecutables, código, interfaz, documentación, recursos gráficos y actualizaciones (el «Software»). Al instalar, copiar o usar el Software, usted acepta este Contrato. Si no lo acepta, no instale ni use el Software.

## 1. Titularidad

El Software está protegido por la Ley Federal del Derecho de Autor y por los tratados internacionales de los que México es parte. El Software se licencia, no se vende. El Titular conserva todos los derechos, títulos e intereses sobre el Software, incluidos los derechos de autor, los secretos industriales y los demás derechos de propiedad intelectual. Quedan reservados todos los derechos que este Contrato no conceda expresamente.

## 2. Licencia de uso

El Titular le concede una licencia gratuita, no exclusiva, intransferible y no sublicenciable para instalar y usar el Software en cualquier número de equipos, con fines personales o comerciales, incluido su uso dentro de empresas y otras organizaciones. Puede hacer las copias de respaldo que necesite para ese uso.

## 3. Prohibición de réplica

Usted no podrá, ni permitirá que otros:

1. Copiar, clonar o reproducir el Software, o partes de su código, interfaz, diseño o recursos, para crear un producto igual o derivado.
2. Modificar, adaptar o traducir el Software, ni distribuir versiones modificadas.
3. Vender, alquilar, sublicenciar, publicar o distribuir copias del Software, modificadas o no. Cada persona u organización debe obtener el Software de los canales oficiales (sección 5); dentro de su organización, puede instalar en sus equipos las copias así obtenidas.
4. Eliminar o alterar los avisos de derechos de autor, las marcas o este Contrato.

## 4. Prohibición de ingeniería inversa

Usted no podrá descompilar, desensamblar ni aplicar ingeniería inversa al Software; extraer su código del paquete instalado (por ejemplo, del archivo `app.asar` o del bytecode); ni eludir, desactivar o vulnerar las medidas técnicas que lo protegen. Esta prohibición no se aplica en la medida en que la ley aplicable permita expresamente esos actos sin posibilidad de renuncia por contrato.

## 5. Canales oficiales

El Software solo se obtiene de los canales oficiales del Titular: el servidor de descargas https://versions.agenticworkspace.app, el repositorio apt publicado en ese servidor y el paquete `agentic-workspace-bin` del Arch User Repository (AUR), que descarga el Software de ese mismo servidor. El Titular no responde de copias obtenidas por otros medios.

## 6. Componentes y servicios de terceros

El Software incluye componentes de terceros que se rigen por sus propias licencias, reproducidas en el archivo `THIRD_PARTY_NOTICES.txt` que lo acompaña. Nada en este Contrato limita los derechos que esas licencias le conceden sobre dichos componentes.

El Software le permite conectar agentes y servicios de terceros, como Codex de OpenAI o Claude de Anthropic. Su uso se rige por las condiciones de cada proveedor, que usted acepta directamente con él. El Titular no controla esos servicios ni responde de ellos.

## 7. Versiones futuras

El Titular puede publicar versiones nuevas del Software con condiciones distintas, incluido un precio. Cada versión se rige por el contrato que la acompaña; las versiones ya instaladas conservan la licencia con la que se obtuvieron.

## 8. Sin garantía

En la máxima medida que permita la ley, el Software se proporciona «tal cual» y «según disponibilidad», sin garantías de ningún tipo, expresas o implícitas, incluidas las de comerciabilidad, idoneidad para un fin determinado y no infracción. Los agentes que usted ejecuta con el Software pueden leer y modificar archivos de su equipo: usted es responsable de revisar sus acciones y de conservar respaldos de su información.

## 9. Limitación de responsabilidad

En la máxima medida que permita la ley, el Titular no será responsable de daños indirectos, incidentales, especiales, consecuenciales o punitivos, ni de la pérdida de datos, ingresos o beneficios, derivados del uso o de la imposibilidad de uso del Software, aun cuando se le haya advertido de esa posibilidad. La responsabilidad total del Titular por cualquier causa no excederá el importe que usted haya pagado por la licencia del Software.

## 10. Terminación

Este Contrato termina automáticamente si usted incumple cualquiera de sus términos. Al terminar, usted debe dejar de usar el Software y eliminar todas sus copias. Las secciones 1, 3, 4, 8, 9, 11 y 12 subsisten a la terminación.

## 11. Ley aplicable y jurisdicción

Este Contrato se rige por las leyes de los Estados Unidos Mexicanos, en particular por la Ley Federal del Derecho de Autor. Para su interpretación y cumplimiento, las partes se someten a los tribunales competentes de México y renuncian a cualquier otro fuero que pudiera corresponderles por razón de su domicilio presente o futuro, o por cualquier otra causa.

## 12. Disposiciones generales

Este Contrato es el acuerdo completo entre usted y el Titular sobre el Software. Si alguna de sus disposiciones se declara inválida, las demás conservan su vigencia. Este Contrato se redacta en español y se acompaña de una traducción al inglés; en caso de discrepancia, prevalece la versión en español.

# Agentic Workspace — End User License Agreement

This End User License Agreement (the "Agreement") is an agreement between you, whether an individual or a legal entity, and AgenticWorkspace (the "Licensor") regarding the Agentic Workspace computer program, including its executable files, code, interface, documentation, graphic assets and updates (the "Software"). By installing, copying or using the Software, you accept this Agreement. If you do not accept it, do not install or use the Software.

This English text is a translation. In case of any discrepancy, the Spanish version prevails.

## 1. Ownership

The Software is protected by the Mexican Federal Copyright Law (Ley Federal del Derecho de Autor) and by the international treaties to which Mexico is a party. The Software is licensed, not sold. The Licensor retains all rights, title and interest in the Software, including copyright, trade secrets and all other intellectual property rights. All rights not expressly granted in this Agreement are reserved.

## 2. License grant

The Licensor grants you a free, non-exclusive, non-transferable and non-sublicensable license to install and use the Software on any number of devices, for personal or commercial purposes, including use within companies and other organizations. You may make the backup copies you need for that use.

## 3. No replication

You may not, and may not allow others to:

1. Copy, clone or reproduce the Software, or parts of its code, interface, design or assets, to create an identical or derivative product.
2. Modify, adapt or translate the Software, or distribute modified versions.
3. Sell, rent, sublicense, publish or distribute copies of the Software, whether modified or not. Each person or organization must obtain the Software from the official channels (section 5); within your organization, you may install copies so obtained on its devices.
4. Remove or alter copyright notices, trademarks or this Agreement.

## 4. No reverse engineering

You may not decompile, disassemble or reverse engineer the Software; extract its code from the installed package (for example, from the `app.asar` file or from bytecode); or circumvent, disable or defeat the technical measures that protect it. This prohibition does not apply to the extent that applicable law expressly permits such acts notwithstanding any contractual waiver.

## 5. Official channels

The Software is only obtained from the Licensor's official channels: the download server https://versions.agenticworkspace.app, the apt repository published on that server, and the `agentic-workspace-bin` package in the Arch User Repository (AUR), which downloads the Software from that same server. The Licensor is not responsible for copies obtained by other means.

## 6. Third-party components and services

The Software includes third-party components governed by their own licenses, reproduced in the `THIRD_PARTY_NOTICES.txt` file that accompanies it. Nothing in this Agreement limits the rights those licenses grant you over such components.

The Software lets you connect third-party agents and services, such as OpenAI's Codex or Anthropic's Claude. Their use is governed by each provider's terms, which you accept directly with that provider. The Licensor does not control those services and is not responsible for them.

## 7. Future versions

The Licensor may publish new versions of the Software under different terms, including a price. Each version is governed by the agreement that accompanies it; versions already installed keep the license under which they were obtained.

## 8. No warranty

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including those of merchantability, fitness for a particular purpose and non-infringement. The agents you run with the Software can read and modify files on your device: you are responsible for reviewing their actions and for keeping backups of your information.

## 9. Limitation of liability

To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profits, arising from the use of or inability to use the Software, even if advised of the possibility of such damages. The Licensor's total liability for any cause shall not exceed the amount you paid for the license to the Software.

## 10. Termination

This Agreement terminates automatically if you breach any of its terms. Upon termination, you must stop using the Software and delete all copies of it. Sections 1, 3, 4, 8, 9, 11 and 12 survive termination.

## 11. Governing law and jurisdiction

This Agreement is governed by the laws of the United Mexican States, in particular the Federal Copyright Law. For its interpretation and enforcement, the parties submit to the competent courts of Mexico and waive any other jurisdiction that may correspond to them by reason of their present or future domicile, or for any other reason.

## 12. General provisions

This Agreement is the entire agreement between you and the Licensor regarding the Software. If any of its provisions is held invalid, the remaining provisions remain in effect. This Agreement is written in Spanish and accompanied by an English translation; in case of any discrepancy, the Spanish version prevails.
